Exhibitor Terms and Conditions

EVENT:

The Texas Woodworking Festival LLC will be referred to as TWF.

PAYMENT:

  1. Upon selection of a table or booth space, 100% of the fee is due in full to reserve exhibition space.
  2. Space will remain on hold until payment is received. Payment must be received within 60 days of reservation, or the hold will be released.
  3. Booth volume discounts are only available for sponsors.

REFUNDS and CANCELLATIONS:

  1. Exhibitors must notify TWF in writing for a cancellation to be official.
  2. TWF does not refund exhibitor fees or any costs related to shipping or travel. Booths cannot be transferred to another company.
  3. TWF reserves the right to resell any booth of which a company has officially canceled.
  4. A credit can be issued for future events for 100% of the exhibitor fee paid if cancellation is received no less than 2 months prior to the event.
  5. Cancellations less than 2 months prior to the festival will receive no refund and no credit.

CHANGE OF SPACE:

TWF may change exhibitors’ space assignments if deemed necessary. Exhibitors will be notified, and changes will be discussed before being made official.

EXHIBITION:

  1. The primary purpose of TWF is for exhibitors to show and demonstrate techniques, merchandise, tools, and equipment.
  2. TWF reserves the right to decline, prohibit, or cancel any exhibit that is not in keeping with the character of the general exhibits or the primary purpose.

NO SUBLETTING:

Table and booth spaces cannot be sublet.

INSTALLATION AND REMOVAL OF EXHIBITS:

  1. Exhibitors can move in and set up the day before the show opens and break down exhibits after doors close on the last day of the show.
  2. Exhibitors cannot break down booths early. All exhibits must be installed or removed by the specified time, or TWF will handle it, and any costs will be passed onto the exhibitor.

PROTECTION OF FACILITIES:

  1. Nothing shall be posted, tacked, nailed, screwed, or otherwise attached to the facility without permission from the proper authority.
  2. Packing, unpacking, and assembly of exhibits shall be done only in designated areas and per TWF, Facility Management, or their assistants.

COMBUSTIBLE MATERIALS AND FIRE REGULATIONS:

INSURANCE/LIABILITY:

  1. It is highly recommended that all exhibitors carry commercial general liability insurance with limits of at least $1,000,000 per occurrence and $2,000,000 aggregate.
  2. Exhibitor agrees that TWF, service contractors, the venue, and their representatives, employees, and agents are not liable for any injury, loss, or damage to Exhibitor or its employees, agents, guests, or property.
  3. Exhibitor assumes all responsibility and liability for losses, damages, and claims arising out of injury or damage to or caused by Exhibitor’s displays, equipment, employees, or representatives.

EVENTUALITIES:

In case the facility is destroyed or circumstances make it impossible for TWF to permit the contracted space to be occupied or to hold the event as scheduled, the Exhibitor shall waive any claims except the pro rata return of the amount paid for exhibit space.

OCCUPANCY AND COMPLIANCE:

If the Exhibitor fails to occupy the contracted space, comply with regulatory changes, or other terms of this agreement, TWF shall have the right to use the space without releasing the Exhibitor from paying the agreed sum.

ATTENDANCE:

TWF has sole control over all admission policies. We can not guarantee any level of attendance and are not responsible for attendance not being as expected.

FILMING/VIDEO RECORDING RIGHTS/ELECTRONIC MESSAGES:

  1. Photographs, film, or video recordings made at the show facility may include images of Exhibitor, its employees, agents, and merchandise.
  2. Exhibitors may not hinder, obstruct, or interfere with such photography or recordings and consent to TWF’s use of such recordings for commercial purposes.
  3. Exhibitor grants TWF a non-exclusive, royalty-free, revocable, non-transferable worldwide license to use their trademarks, service marks, logos, trade names, copyrighted content, hypertext links, domain names, icons, banners, graphic files, images, and video footage for promotion.

RESTRICTIONS:

  1. Exhibitors shall not sell or distribute items with The Texas Woodworking Festival logo without express written permission.
  2. TWF reserves the right to bar any material, literature, person, or thing not consistent with the character of the festival.
  3. TWF reserves the right to enter into sponsorship agreements with any company it sees fit. If such agreements prohibit an exhibitor from selling a specific product, the exhibitor may terminate the agreement but is liable for any monies due for exhibitions or promotions completed at the time of cancellation.

AMENDMENTS:

TWF reserves the right to interpret and amend these rules. Where rules do not cover, TWF may make rulings in the best interest of the show, and the Exhibitor agrees to abide by such rulings.

ERRORS AND OMISSIONS:

TWF will not be liable for errors or omissions in the show program or related materials. No representations or warranties are made regarding the number of attendees or the demographic nature of attendance.

ENFORCEMENT OF CONTRACTS:

If TWF must enforce any provision herein, the Exhibitor shall pay all enforcement and collection costs, including reasonable attorney’s fees.

APPLICABLE LAW AND VENUE:

This agreement shall be governed by Texas law. Any suit relating to this contract shall be instituted in a state or federal court in Travis County, TX, and the parties submit to the jurisdiction of such courts. Exhibitors are strongly recommended to secure insurance covering their property at the show.
